Terms of Service and Membership Agreement
Effective date: October 4, 2026
Please read these Terms carefully. They include a binding arbitration clause in Section 17, which affects how disputes are resolved.
1. Who you are contracting with
- Root Health LLC (the "Manager") operates the website at https://roothealth.care and the patient portal, and bills and collects membership fees on behalf of the Practice.
- Root Health Medical PLLC (the "Practice") provides all clinical care. Your clinician-patient relationship is with the Practice and its licensed clinicians, not with Root Health LLC. All clinical decisions are made solely by licensed clinicians using their independent professional judgment.
"Root Health," "we," and "us" mean both companies. "You" means the person who creates an account, and for a family membership, the account holder. Our mailing address is 12224 NE Bel-Red Rd #729, Bellevue, WA 98005.
By creating an account, enrolling in a membership, or using the website or portal, you agree to these Terms, our Privacy Policy, and the Notice of Privacy Practices. Your clinical care is also governed by the Consent for Treatment, Telehealth Informed Consent, and AI Scribe Consent you sign during enrollment.
2. Eligibility
You must be at least 18 years old to create an account. You must be physically located in Washington State at the time of every visit, because our clinicians are licensed only in Washington. A parent or legal guardian must enroll and consent for a minor, and family memberships are enrolled with help from our staff until self-service family signup is offered.
3. What Root Health is, and what it is not
Not emergency care. Root Health is not an emergency or urgent-care service. If you have a medical emergency, call 911 or go to the nearest emergency room. For a mental-health crisis, call or text 988. Do not use portal messaging for anything urgent.
Not insurance. A membership is not health insurance and does not satisfy any legal requirement to carry health coverage. We recommend you keep health insurance for hospital, specialist, emergency, and other care that Root Health does not provide.
Not your only doctor. Root Health provides naturopathic functional medicine. It does not replace a primary-care physician, specialist, or emergency care, and it does not perform surgery or prescribe controlled substances.
No guaranteed results. We cannot promise any particular health outcome.
4. Telehealth and messaging
- Most visits happen by secure video in the portal. In-home visits are also available. We do not record video. With your consent, visit audio is transcribed and drafted into notes by AI tools and reviewed by your clinician, as described in the Privacy Policy and AI Scribe Consent.
- At the start of each telehealth visit you must tell your clinician where you are. If you are outside Washington, the visit cannot go ahead and will be rescheduled. A visit missed for this reason is treated under Section 6.
- Your clinician may decide a problem cannot be handled by telehealth and refer you elsewhere.
- Our target for answering portal messages is the same business day for messages sent during business hours and the next business day for messages sent after hours. These are targets, not guarantees. After-hours messages may receive an automatic acknowledgment, which is not medical advice.
- You need a device, browser, and internet connection that support video. We are not responsible for visits disrupted by your equipment or connection.
5. Membership plans, fees, and billing
5.1 Plans and prices

What each plan includes is described in Exhibit A and on the pricing page at enrollment. The Family plan covers two adults and up to three children; additional children are $85 per month each and young adults aged 18 to 25 are $250 per month each.
5.2 Automatic renewal
Monthly memberships renew each month, and annual memberships renew each year, on the same date, until you cancel. You authorize us to charge your payment method on file at each renewal. We will email you before every annual renewal charge. You can cancel online from the billing page in the portal.
5.3 Onboarding fee
Individual memberships carry a one-time onboarding fee of $495, charged with your first membership payment at signup. It covers your account setup and your first in-depth onboarding visit. Family memberships carry a one-time onboarding fee of $990. The onboarding fee is not charged again at renewal.
5.4 Payment methods
We accept major credit and debit cards and HSA or FSA cards, processed by Stripe. Whether a charge qualifies for HSA or FSA payment is between you and your plan administrator.
5.5 Failed payments
If a payment fails, you have a 7-day grace period. We will retry your card automatically and remind you by email on days 1, 3, and 5. You keep full access during the grace period. If the balance is not paid within 7 days, your account is suspended until it is paid. While suspended, you cannot book visits, but you can still message the care team and view and download your records.
5.6 Chargebacks
If you dispute a charge with your card issuer and the dispute is resolved in our favor, a $15 fee, the amount Stripe charges us, is added to your account balance. If you win the dispute, no fee applies.
5.7 Superbills and insurance
Root Health does not bill insurance for membership fees or visits. We generate a superbill after every visit, which you can download and submit to your insurer for possible out-of-network reimbursement. We do not guarantee that your insurer will reimburse anything.
5.8 Services not included
Unless your plan says otherwise, lab tests beyond those included in your plan, supplements, and outside services are billed separately. Lab tests ordered through our lab partner and supplements ordered through our dispensary are paid directly to those companies at the price shown before you order.
5.9 Price changes
We may change published prices with at least 30 days' notice. A change applies from your next renewal. Founding members are protected as described in Section 5.10.
5.10 Founding members
If you enroll as a founding member, your membership rate is locked for 2 years from your enrollment date. If you upgrade during those 2 years, your founding-member discount carries over as the same percentage off the new plan's price. After 2 years, your rate changes to the published price at your next renewal.
5.11 Referral credits
When someone you refer joins Root Health, you receive a credit equal to one month of your current membership rate. Credits are applied automatically to your next bill, do not expire while your membership is active, and have no limit on how many you can earn. Credits have no cash value and cannot be transferred. Unused credits lapse when your membership ends and are not refunded.
6. Appointments
- You can book visits up to 30 days in advance.
- You can cancel free of charge up to 24 hours before the start time. Rescheduling is always free.
- Cancelling with less than 24 hours' notice incurs a $75 late-cancellation fee.
- Missing a visit without cancelling incurs a $150 no-show fee.
- We charge these fees to your payment method on file. We may waive them at our discretion, for example in an emergency.
7. Minimum commitment, cancellation, and pausing
7.1 Six-month minimum commitment
Every membership has a 6-month minimum commitment starting on your enrollment date. Months in which your membership is paused do not count toward the commitment. If a pause falls within the commitment period, the end of the commitment moves later by the length of the pause.
7.2 Cancelling a monthly membership
You can cancel at any time from the billing page or by emailing support@roothealth.care. Cancellation takes effect at the end of your current paid billing period, and you keep access until then.
If you cancel a monthly membership before completing the 6-month minimum commitment, a $495 early-termination fee applies and is charged when you cancel. After the commitment ends, you can cancel with no fee. If you change your mind and reactivate before your billing period ends, we undo the cancellation and refund the early-termination fee.
7.3 Cancelling an annual membership
You can cancel an annual membership at any time. The remaining prepaid months are not refunded. No early-termination fee applies to annual memberships. You keep access through the end of the prepaid year.
7.4 Changing plans
- Upgrading a monthly plan takes effect immediately. You pay the prorated difference for the rest of the current billing period.
- Upgrading an annual plan takes effect immediately. We credit the unused value of your current annual payment toward the price of the new plan.
- Downgrading takes effect at the start of your next billing period.
- Annual to monthly: you cannot switch an annual plan to monthly billing mid-term. You can choose monthly billing at renewal.
7.5 Pausing
Once you have completed the first 6 months of membership, you can pause once in any 12-month period, for up to 3 months. The pause begins at the end of your current paid billing period, with no proration. While paused, you are not charged and cannot book visits, but you can still message the care team and view and download your records. Your membership resumes automatically when the pause ends.
7.6 When we end a membership
The Practice may end your membership, with written notice, if you do not pay after the grace period, you move out of Washington, you are abusive or threatening toward staff or clinicians, you commit fraud or misuse the service, or your clinician determines in professional judgment that Root Health can no longer meet your medical needs. If we end your membership for a reason other than your breach of these Terms, we refund the unused portion of any prepaid fees and do not charge an early-termination fee. In every case, we will give you reasonable notice so you can find another clinician, and we will send your records to you or your new provider on request.
8. Your account
- Give us accurate information and keep it current.
- Keep access to your email account secure, since sign-in links and codes are sent there, and use multi-factor authentication when we offer it. You are responsible for activity under your account.
- Tell us right away at support@roothealth.care if you think someone else has accessed your account.
- Do not share your account with anyone.
9. Acceptable use
You agree not to:
- use the service for anyone other than yourself or a family member you are authorized to act for;
- impersonate anyone or give false health or identity information;
- record visits, or share visit links, without the clinician's consent;
- harass, threaten, or abuse staff, clinicians, or other patients;
- attempt to access another person's account or records, probe or test our security, or disrupt the service;
- copy, scrape, reverse engineer, or resell any part of the website or portal;
- upload malware or unlawful content.
We may suspend access for violations, subject to Section 7.6.
10. Communications
You agree that we may communicate with you electronically, including by email, text message, push notification, and in-portal messages, and that electronic notices satisfy any legal requirement for written notice. Text messages are for appointment reminders and account notices; message and data rates may apply, and you can reply STOP to opt out. Email and text messages never contain clinical details.
11. AI features
The portal uses AI to transcribe visit audio, draft notes, read lab documents, prepare plain-language summaries, and acknowledge after-hours messages. AI output can contain errors. Your clinician reviews AI-drafted notes before they enter your record. AI summaries and automatic messages are informational and are not a diagnosis or treatment decision. Rely on your clinician for medical advice.
12. Your health information
How we handle your health information is described in the Notice of Privacy Practices and the Privacy Policy. You have the right to access your medical records as provided by law. Medical records are maintained by the Practice.
13. Intellectual property
Root Health LLC owns the Root Health name, logo, website, portal software, and content, other than your health information and the content you submit. We grant you a limited, personal, non-transferable license to use the website and portal for your own care while you are a member. Educational materials we provide are for your personal use only.
14. Third-party services
We use third-party services for video, payments, labs, supplements, and messaging, listed in the Privacy Policy. When you buy directly from a third party, such as a lab or supplement dispensary, that company's terms also apply.
15. Disclaimers
Except as stated in these Terms, the website and portal are provided "as is" and "as available." We do not guarantee uninterrupted or error-free service. This disclaimer does not apply to the professional services your clinician provides, which are held to the standard of care required by Washington law.
16. Limitation of liability
To the fullest extent allowed by law, Root Health is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the website or portal, and our total liability for any claim about the website, portal, or billing is limited to the membership fees you paid in the 12 months before the claim arose.
This section does not limit liability for professional negligence in the delivery of health care, for gross negligence or willful misconduct, or for anything else that Washington law does not allow to be limited.
17. Dispute resolution; arbitration
17.1 Informal resolution
Before starting arbitration or a court case, contact us at support@roothealth.care and describe the dispute. We will try in good faith to resolve it within 30 days.
17.2 Governing law; arbitration
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Except as provided in Section 17.4, any controversy, dispute, or claim arising out of or relating to these Terms or your membership, or the breach, termination, enforcement, interpretation, or validity of these Terms, shall be finally resolved by binding arbitration administered by JAMS at its Seattle Resolution Center, before a single arbitrator, seated in King County, Washington. The arbitration will be conducted under the JAMS Comprehensive Arbitration Rules and Procedures then in effect (or, where the aggregate amount in dispute is less than $250,000, the JAMS Streamlined Arbitration Rules and Procedures), together with the JAMS Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses, Minimum Standards of Procedural Fairness (the "Consumer Minimum Standards"). If anything in this Section 17 conflicts with the Consumer Minimum Standards, the Consumer Minimum Standards control. Judgment on the award may be entered in any court of competent jurisdiction. Disputes will be arbitrated only on an individual basis, not as a class or representative action.
17.3 Arbitration costs and fees
Your share of arbitration costs will not exceed what the Consumer Minimum Standards allow a consumer to be charged. Root Health pays all other JAMS fees and the arbitrator's compensation. Each side pays its own attorneys' fees and costs, except that the arbitrator may award attorneys' fees and costs to the same extent a court could under applicable law. The arbitrator may award you any remedy that would be available to you in court.
17.4 Claims that are not arbitrated
- Small claims. Either you or Root Health may bring an individual claim in small claims court instead of arbitration, if the claim qualifies.
- Health-care injury claims. Claims for injury resulting from health care, governed by chapter 7.70 RCW, are not subject to arbitration under these Terms. They may be brought in court, subject to the procedures Washington law sets for those claims.
18. Changes to these Terms
We may update these Terms. We will give members at least 30 days' notice of a material change by email or in the portal. Changes do not apply to a dispute that arose before the change. If you do not agree to a change, you may cancel before it takes effect without an early-termination fee.
19. General
- Entire agreement. These Terms, the Privacy Policy, the Notice of Privacy Practices, and the consents you sign at enrollment are the entire agreement between you and Root Health about the service.
- Severability. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision is limited to the minimum extent necessary.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not transfer your membership. We may assign these Terms to an affiliate or successor.

Quarters are counted in consecutive 3-month periods from your membership start date. Visits not used in a quarter do not carry over to the next quarter. A Quick Check visit (15 minutes) is included while you have visits left in the current quarter; once that quarter's visits are used, a Quick Check costs $75.
Family plan. Foundation-level care for two adults and up to three children, with shared care-team coordination and a guardian portal for children's care. Additional children are $85 per month each and young adults aged 18 to 25 are $250 per month each. Family memberships are enrolled with help from our staff, and the visit allowance for each family member is confirmed in writing at enrollment.
